1. The agreement
These Terms of Service ("Terms") form a binding agreement between you and Keyvata Ltd when you browse, register, list, book, pay, message, or otherwise use keyvata.com, app.keyvata.com, or the Keyvata mobile apps.
If you do not agree, do not create an account and uninstall the app. By creating an account or completing a booking you confirm that you have read these Terms and the Privacy Policy.
2. Eligibility and accounts
You must be at least 18 and able to enter a contract under the laws of the Federal Republic of Nigeria. You must give true information. You are responsible for every action taken with your password, recovery email, and devices.
One person should keep one account. We may refuse, suspend, or merge accounts that look duplicated, automated, or used to evade a ban. Hosts listing on behalf of a company must have authority to bind that company.
3. What Keyvata is (and is not)
Keyvata is a technology marketplace. We publish listings, run messaging, identity checks, digital agreements, and booking checkout. Unless we say so in writing for a specific property:
- we are not the landlord, host, buyer, or seller;
- we are not a licensed estate agent, surveyor, or solicitor;
- we are not an escrow company, a bank, or a custodian of customer funds or digital assets;
- we do not guarantee that a property is free of title defects;
- the stay or tenancy contract is between guest/tenant and host/landlord.
- payments use Protected Milestone Settlement and are processed by CBN-licensed payment partners. Keyvata records the payment and does not hold the funds.
4. Listings, bookings, and your duties
Hosts and landlords
You warrant that you have the legal right to advertise and let (or sell) the property, that photos and prices are not misleading, and that fees shown at checkout match what you will charge. You must keep calendar availability honest and honour confirmed bookings except where these Terms or the listing's cancellation rules allow otherwise.
Guests and tenants
You must treat the property and neighbours lawfully, follow house rules disclosed before you booked, and leave the space in the condition documented at check-in, fair wear excepted. You must not sublet unless the listing and host allow it in writing on Keyvata.
5. Identity verification
We may require phone, BVN, NIN, liveness, or document checks before you list, receive payouts, or complete certain bookings. Providing another person's identity, or forged documents, is grounds for immediate termination and, where appropriate, reporting to the authorities. Verification does not mean we guarantee a user's character or a property's condition.
6. Payments and physical services
All in-app and in-hub charges are for physical goods and services supplied outside the software: residential leases, short-stay accommodation, venue hire, and physical damage/security deposits. Keyvata does not sell digital content, coins, or paywalled app features. App search, messaging, and account tools are free.
You pay at checkout through Protected Milestone Settlement. Card charges, refunds, and host payouts are processed by Paystack Payments Limited, a CBN-licensed payment service provider. The host is paid when the booking or lease conditions are met (typically confirmed check-in or handover, or a dispute decision). Keyvata records the payment so both sides can see it, and does not hold the funds. Currency is Nigerian Naira unless we display otherwise.
Platform fees and taxes
Any Keyvata service fee or host payout fee is shown before you confirm payment. Hosts are responsible for their own taxes on rent and stay income. Keyvata may issue receipts for booking payments; those are not tax advice.
Refunds
Refunds follow the cancellation rules and dates shown at checkout for that listing, plus any decision we make on a documented dispute (for example a proven no-show or material misrepresentation). Refunds, when due, return to the original payment method and can take several working days to appear. Chargebacks opened without first using in-product dispute tools may delay both sides' access while we investigate.
7. Digital agreements and access codes
Where the product generates a stay or tenancy agreement, clicking to sign — including with an on-device biometric confirmation — is intended to evidence your agreement under applicable electronic-signature principles in Nigeria. Keep a copy. If a wet-ink deed is legally required for a particular transaction, the parties must complete that separately.
Smart-lock PINs, gate codes, and Wi-Fi details are confidential, time-limited, and may be revoked if a booking is cancelled or you check out. You must not share codes with anyone who is not on the booking.
8. Your content and our licence
You keep ownership of photos, messages, and listing text you upload. You grant Keyvata a worldwide, non-exclusive licence to host, display, and transmit that content as needed to run the marketplace (including showing a listing to guests). You must not upload content you do not have rights to, or that is unlawful, pornographic, or discriminatory. We may remove content that breaches these Terms.
9. Prohibited conduct & community guidelines
You must not: (a) impersonate anyone or submit false KYC; (b) list a property without authority; (c) harass, threaten, or discriminate; (d) scrape, overload, or reverse engineer the service; (e) circumvent fees or checkout; (f) use Keyvata to advertise illegal activity; or (g) interfere with another user's account.
Messaging and community interactions must also follow the guidelines below. Users may report conversations against these standards; Keyvata reviews reports through support.
Reports in messaging use these community guidelines. Admins can update the live catalog; the list below reflects the current published rules (or Keyvata's default standards if the catalog is temporarily unavailable).
Harassment or bullying
Threats, intimidation, insults, or repeated unwanted contact that makes someone feel unsafe.
Scam or fraud
Attempts to move payment off Keyvata, fake listings, phishing, or other financial deception.
Inappropriate or explicit content
Sexual, violent, or otherwise inappropriate photos, language, or attachments in messaging.
Spam or advertising
Unsolicited promotions, mass messaging, or irrelevant commercial outreach.
Safety concern
Behavior that suggests physical risk, property damage intent, or an emergency situation.
Impersonation
Pretending to be Keyvata staff, another host/guest, or a verified identity.
Discrimination
Hostile treatment based on protected characteristics such as tribe, religion, gender, or disability.
Other community guideline violation
Conduct that breaks Keyvata community standards but does not fit the categories above.
10. Cancellations, inspections, and disputes
Cancellation rules are shown before you pay. Hosts and guests should photograph the property at check-in and check-out. If there is a disagreement about condition, deposit, or a no-show, open a dispute in the app or hub and upload evidence. Keyvata may review the file and instruct a host payout, refund, or split consistent with these Terms and the booking record.
We are not an arbitrator of last resort for every neighbour dispute. Serious safety issues should be reported to the Nigeria Police Force (112) first, then to us.
11. Intellectual property, disclaimers, liability
The Keyvata name, logo, and software are owned by Keyvata Ltd. You may not copy them except as needed to use the service.
The marketplace is provided "as is". We do not warrant uninterrupted uptime, that a host will perform, or that a listing photograph matches the property on the day you arrive — though we will act on proven misrepresentation through the dispute process.
To the fullest extent permitted by Nigerian law, Keyvata Ltd is not liable for indirect, incidental, or consequential loss, or for loss of profit, data, or goodwill. Our aggregate liability to you for a claim arising from the service is limited to the greater of (a) fees you paid to Keyvata in the three months before the claim, or (b) ₦50,000, except where liability cannot be limited (including death or personal injury caused by our negligence, or fraud). Nothing in these Terms excludes rights that Nigerian consumer law does not allow us to exclude.
12. Indemnity, suspension, and closing your account
You will indemnify Keyvata Ltd against claims arising from your listings, your breach of these Terms, or your violation of law, except to the extent caused by our wilful misconduct.
We may suspend or terminate access if you breach these Terms, if we are required to by law, or if we reasonably believe there is fraud or a safety risk. You may close your account at any time as described in the Privacy Policy. Outstanding bookings and host payouts are wound down according to the booking rules; we may retain records we are legally required to keep.
13. Changes, governing law, contact
We may update these Terms by posting a new version on this page. Continued use after the effective date is acceptance of the update. If a change is material, we will highlight it in the product where practical.
These Terms are governed by the laws of the Federal Republic of Nigeria. Nigerian courts, including those in Lagos State, have jurisdiction, without prejudice to any mandatory consumer venue rights.

These Terms, together with the Privacy Policy, Cookie Policy, and the booking or listing terms shown at checkout, are the entire agreement between you and Keyvata Ltd for use of the service. If a court finds a clause unenforceable, the rest still applies. Our failure to enforce a right is not a waiver. You may not assign your account without our consent; we may assign these Terms in a reorganisation or sale of the business. Notices to you may be sent to the email on the account.
These Terms explain how the marketplace works. They are not legal advice about a specific lease, sale, or dispute. Get independent advice if you need it.
